10. (1) Meetings of the Board shall be held at such times and places as may be prescribed: Provided that the meeting of the Board may otherwise be convened by the Managing Director in consultation with the Chairman. (2) Seven Directors including the Chairman shall form the quorum at a meeting of the Board. (3) Meeting of the Board shall be presided over by the Chairman, and, in his absence, by a person elected for the purpose by the Directors present from amongst themselves. (4) All matters of a meeting of the Board shall be decided by the votes of the majority of the Directors present and voting. (5) At a meeting of the Board each Director shall have one vote, but in the event of equality of votes, the person presiding shall have a second or casting vote.
